Introduction
These Terms of Business set out how we work with our clients and the standards you can expect from Crown Building. We believe in transparency, clear communication, and fairness in all our dealings.
By instructing us to carry out work or supply materials, you agree to these terms. If you have any questions or would like clarification on any point, please don’t hesitate to ask.
- Who We Are
“The Company” refers to Crown Building.
“The Customer” refers to any individual or organisation for whom we agree to undertake works or provide goods or services.
“Engineer or Operative” means a representative appointed by the Company to perform works.
- Our Right to Accept or Refuse Work
We reserve the right to accept or decline instructions at our discretion. Where we agree to carry out works, they will be undertaken by a representative appointed by us.
- Estimates and Pricing
We may provide an estimate for the proposed works. Please note:
- Our estimates are based on the information available at the time and may be revised if the scope of work changes.
- Adjustments may be made for:
- Additional works requested by you;
- Increases in material or labour costs;
- Unforeseen conditions;
- Errors or omissions in the original estimate.
- Written and signed estimates are binding; verbal estimates are not.
- Payment Terms
- Invoices are due for payment immediately unless otherwise agreed in writing.
- Payment notices will be issued in line with the Housing Grants, Construction and Regeneration Act 1996.
- If you intend to pay less than the amount due, a valid “Pay Less Notice” must be submitted no later than seven days before the final date for payment.
- In cases of non-payment, we reserve the right to suspend ongoing works after providing at least seven days’ notice.
- Retention of Title (ROT)
- Legal ownership of all goods and materials supplied remains with us until we receive full payment in cleared funds.
- Until payment is received:
- You must store goods separately and clearly mark them as our property.
- You may not sell, pledge, or dispose of goods without written consent.
- We retain the right to enter your premises to inspect or reclaim goods.
- These rights survive the termination of any agreement between us.
- Timing and Attendance
We aim to carry out work on agreed dates and times. However, we are not liable for delays caused by external factors or issues outside our control, including supplier delays or unexpected site conditions.
- Cancellation Policy
If you cancel confirmed works before commencement, you may be liable for costs we have reasonably incurred, including time, materials, and administrative effort.
- Satisfaction and Snagging
If you’re not entirely satisfied with our work, please notify us in writing within 7 days of completion. We’ll arrange to inspect the works and, if appropriate, carry out any necessary rectifications.
- Variations to Work
All variations to the original scope of work must be agreed in writing. Any additional cost or time will be clearly communicated and added to the overall contract value.
- Force Majeure
We will not be liable for delays or failure to perform our obligations due to circumstances beyond our reasonable control (e.g., extreme weather, strikes, supplier issues, accidents, or government actions).
- Legal and Regulatory
Dispute Resolution: Either party may refer a dispute to adjudication under the Housing Grants, Construction and Regeneration Act 1996. The adjudicator’s decision will be binding unless overturned by legal proceedings, arbitration, or agreement.
Limitation of Liability:
- Our total liability is capped at the value of the works provided.
- We exclude liability for indirect or consequential losses, such as loss of profit or reputation.
- We accept liability only for death or personal injury caused by our negligence, or where liability cannot legally be excluded.
Indemnity: You agree to indemnify us against any claims or costs arising from your breach of these terms or from negligence by you, your staff, or contractors.
